Independent Documentation & Referral Relationship
This Agreement establishes the terms under which Aerial Inspections, LLC (“Inspector”) may refer customers to a Verified Partner (“Partner”) and perform post-work documentation.
This is not an employment relationship, endorsement guarantee, or certification program.
1. PURPOSE OF PARTNERSHIP
The purpose of this partnership is to:
- Facilitate customer referrals when requested
- Provide independent post-work documentation
- Support transparency and accountability through visual records
All parties acknowledge that documentation exists to record visible conditions, not to evaluate workmanship quality beyond what is visible at the time of inspection.
2. INDEPENDENT PARTIES
Inspector and Partner are independent entities.
Nothing in this Agreement shall be construed as:
- An agency relationship
- A joint venture
- An employment relationship
- A warranty or certification of Partner’s work
Each party retains full responsibility for its own operations, employees, licenses, and insurance.
3. REFERRAL TERMS
3.1 When Referrals Occur
Referrals may occur only when a customer requests a service provider following an inspection.
Referrals are:
- Non-exclusive
- Non-guaranteed
- Subject to availability and performance history
3.2 Disclosure
Customers will be informed that:
- Partner is a separate company
- A referral relationship exists
- Compensation may be received by Inspector
Transparency is mandatory.
4. COMPENSATION
Partner agrees to compensate Inspector only upon successful completion of referred work, under terms agreed separately in writing.
Compensation:
- Does not influence inspection results
- Does not affect documentation content
- Does not guarantee future referrals
No placement fees or pay-to-play arrangements exist.
5. POST-WORK VERIFICATION
5.1 Nature of Verification
Post-work verification consists of:
- Visual documentation of visible conditions
- Captured at a specific point in time
- Using standard inspection methods
Verification is:
- Neutral
- Independent
- Non-interpretive
5.2 What Verification Is Not
Verification does not constitute:
- A warranty
- A certification
- An approval
- A prediction of future performance
Documentation stands alone as a factual visual record.
6. NEUTRALITY & NON-INTERFERENCE
Partner agrees that:
- Inspection methods may not be influenced
- Documentation may not be edited or suppressed
- Results may not be negotiated
Inspector retains sole discretion over:
- Flight paths
- Capture methods
- Image selection
- Report formatting
Neutrality is non-negotiable.
7. PERFORMANCE & CONTINUATION
Partnership continuation is based on:
- Professional conduct
- Customer feedback
- Documented outcomes over time
Inspector reserves the right to suspend or terminate partnership at any time for:
- Misrepresentation
- Pressure on customers
- Attempts to influence documentation
- Conduct that undermines trust
Termination requires no cause and creates no obligation for future referrals.
8. USE OF DOCUMENTATION
Partner may:
- Share documentation with customers
- Retain records for internal use
Partner may not:
- Alter documentation
- Represent documentation as certification
- Use documentation out of context
- Claim endorsement beyond what is explicitly stated
9. LIABILITY & INDEMNIFICATION
Each party remains responsible for:
- Its own work
- Its own representations
- Its own contractual obligations
Nothing in this Agreement transfers liability for workmanship, defects, or outcomes.
10. CONFIDENTIALITY
Operational details, pricing structures, and internal processes disclosed during partnership shall be treated as confidential unless otherwise agreed in writing.
11. MODIFICATION & TERMINATION
This Agreement may be:
- Modified only in writing
- Terminated by either party at any time
No reliance on continued partnership should be assumed.
12. GOVERNING LAW
This Agreement shall be governed by the laws of the state in which Inspector operates, without regard to conflict-of-law principles.
13. ENTIRE AGREEMENT
This document represents the entire understanding between the parties and supersedes all prior discussions or representations.
